AFFILIATE PARTNER AGREEMENT
This Affiliate Agreement (“Agreement”) is by and between Helper4U.in (“Helper4U”),
a company with registered office at #803, Raheja Vistas, Powai, Mumbai, Maharastra-
400 072, and the individual or business entity that enters into this Agreement (“Affiliate”).
Whereas, Helper4U is in the business of providing employment services to un-skilled
and semi-skilled workers and is entering into contractual relationship with affiliate
for expansion of business. Whereas, Affiliate desires to register job seekers (helpers)
for jobs like maids, cooks, babysitters, drivers, courier boys, handy man, security
guards etc. in return for revenue sharing of revenue earned from the Helpers registered
by the affiliate. The parties agree to the terms and conditions stated herein.
As used in this Agreement, the following terms have the following respective meanings:
1.1 The following shall be deemed to be Confidential Information unless specified
in writing by the disclosing party as non-confidential: (a) Documentation, (b) the
terms and pricing of this Agreement, and (c) Proprietary Information.
1.2 “Documentation” shall mean materials in printed form, provided by Helper4U which
facilitate the use of portal by affiliate.
1.3 “Proprietary Information” shall mean the Helper4U portal, documentation and
all code, inventions, algorithms, know-how and ideas, and any derivative works thereof
it obtains from Helper4U.
2.0 ROLES AND RESPONSIBILITIES OF AFFILIATE
2.1 Enrollment of helpers - Drivers, Assistants, peons, security guards, maid servants,
domestic attendants( naanis, ayaas, cooks, cleaners, baby sitters), beauticians,

workers, courier/delivery boys, catering boys, cash handling boys etc.
2.3 Uploading profile details, including ID proofs of Helpers it wants to register,
on www.Helper4U.in, through its own account.
2.4 Always work towards the best interests of the company and will maintain complete
confidentiality in respect to database, website design and company strategy.
2.5 Use all profile details uploaded on Helper4U for sole business interest of Helper4U
3.0 ROLES AND RESPONSIBILITIES OF Helper4U
3.1 Provide training support to the affiliate as well as to any person/s hired by

4.0 REVENUE SHARING
4.1 40% sharing on subscription fee earned (net of taxes) from candidates registered
by the affiliate within 30 days from the receipt of the same.
4.2 All payments will be made into the account of the affiliate electronically,
details of which will be shared by the affiliate at the time of registering.
5.1 Affiliate shall comply with the local rules and regulations (regarding, among
other things, payments to government officials, political parties, and candidates
for public office).
5.2 Any disputes arising in the territory will be front ended by the affiliate and
related expenses to settle the disputes will be paid by Helper4U.
6.1 Helper4U Portal (the “Portal”) access is provided only to affiliate and persons
authorized by them
6.2 Modifications. Any aspect of the Portal may be changed, supplemented, deleted
or updated only by Helper4U.
6.3 Affiliate will not input or upload to the Portal any information which contains
viruses, Trojan horses, worms, time bombs or other computer programming routines
that are intended to damage, interfere with, intercept or expropriate any system.
6.4 Affiliate agrees that Helper4U, may terminate or suspend Affiliate’s use of
the Portal after a month of notice. After this, the Affiliate shall immediately
(a) discontinue use of the Portal, and (b) destroy any copies Affiliate may have
made of any portion of the Content.
Affiliate’s records, and hereby waives any other requirement that these Terms of
Use be evidenced by a written document.
6.6 Helper4U and Affiliate are independent contractors and shall have no authority
to bind the other. Neither this Agreement nor Affiliate’s participation in any Helpe4u
program shall be deemed to create a partnership, agency, joint venture, or other
similar arrangement, and the employees, agents, or representatives of one party
shall not be deemed to be employees, agents, or representatives of the other party.
6.7 Each party understands that the rights of termination hereunder are absolute.
Neither party shall incur any liability or compensation obligation whatsoever for
any damage (including without limitation, damage to or loss of goodwill or investment),
loss or expenses of any kind suffered or incurred by the other (or for any compensation
to the other) arising from or incident to any termination of this agreement whether
or not such party is aware of any such damages, loss or expenses.
